B2B SUBSCRIPTION TERMS

Straightforward terms for a professional service.

These terms apply to FreshIntel trials and paid subscriptions purchased online. FreshIntel is offered for business use only.

1. Provider and acceptance

FreshIntel is provided by Orange-Express, a Dutch sole proprietorship registered under number 73179442, VAT number NL002450382B70, at T Routje 14, 6024 BP Budel-Dorplein, the Netherlands. By starting a trial or subscription for a company, you confirm authority to bind that company and accept these terms.

2. Trial and activation

The self-service Pro trial lasts seven calendar days from checkout confirmation. A valid payment method is required, but no subscription fee is charged at signup. Card and PayPal use a €0 verification; iDEAL uses a one-off €0.01 verification to establish the SEPA Direct Debit mandate. Unless cancelled before the trial ends, the selected paid subscription begins automatically on day 8 and Mollie charges the stated amount. One trial per customer or related group may be enforced.

3. Price, VAT and payment

Prices are in euros and exclude VAT unless stated otherwise. Applicable VAT is calculated from the billing country and the customer’s B2B tax status. Monthly plans renew monthly; annual plans renew annually. Mollie processes payments, and FreshIntel sends paid invoices by email through Mollie. Failed payment may lead to restricted or suspended access after reasonable notice.

4. Cancellation and changes

You may cancel online from your FreshIntel account page. Cancellation during the trial prevents the first subscription charge. Later cancellation takes effect at the end of the current paid period; access continues until then. Fees already paid are not refunded except where mandatory law requires it. We will give reasonable advance notice of material price or service changes.

5. Account and permitted use

Keep access credentials secure and provide accurate company information. You may use FreshIntel only for lawful internal business purposes within the purchased user limit. Do not resell access, scrape or reverse engineer the service, bypass access controls, upload malware, or interfere with other users or the platform.

6. Data and Data Partner terms

You retain rights in data you lawfully submit and must have authority to use and share it. Data entered in the private importer check or lot-list proposal is used only to provide that customer’s result and does not grant FreshIntel a right to use it as realised-price model data.

A definitive supplier-received account sale enters a separate contribution process. Only the purposes explicitly selected there are licensed, and no contribution becomes model eligible before FreshIntel accepts it after human source and basis review. FreshIntel may then use the accepted normalised, de-identified realised-transaction values for the selected purposes, subject to confidentiality, aggregation and suppression controls. A Data Partner rate requires separate approval of provenance, permission, quality, structure and ongoing usefulness; the reduction may end after notice if approved delivery stops. Do not submit data you are not authorised to share or unnecessary personal data.

7. Intelligence, availability and responsibility

FreshIntel provides decision support, not a guaranteed price, forecast, legal, tax or financial outcome. Market information may be delayed, incomplete or uncertain. You remain responsible for commercial decisions and for checking important inputs. We aim for reliable availability but do not promise uninterrupted or error-free operation.

8. Intellectual property and confidentiality

FreshIntel, its software, design, models and non-customer content remain owned by Orange-Express or its licensors. Each party must protect non-public business information received from the other and use it only for the agreed purpose, except where disclosure is legally required.

9. Suspension, liability and law

We may suspend or end access for non-payment, material breach, security risk or unlawful use, normally after notice where practical. To the extent permitted by law, neither party is liable for indirect or consequential loss. FreshIntel’s aggregate liability is limited to fees paid for the affected service in the preceding twelve months; this does not limit liability that cannot legally be excluded. Dutch law applies, subject to mandatory rules. Contact partners@freshintel.nl before filing a claim so both parties can first try to resolve it.
